• We define services, response times, and reporting schedules in a retainer agreement
• We invoice retainer fees in advance for each billing cycle
• We do not roll over unused services unless we agree in writing
• Either party may terminate the retainer by giving written notice as stated in the agreement

Overall, any change to scope requires written approval and may result in revised timelines or fees.

4. Fees & Payments

We agree on all fees before starting work. In addition:

• Clients must pay invoices according to the agreed payment terms
• Late payments may lead to suspension of services
• All fees exclude applicable taxes unless stated otherwise

5. Intellectual Property Rights

Unless we agree otherwise in writing:

• Savvyscope Media Solutions retains ownership of all work until the client completes full payment
• After full payment, the client receives usage rights for the agreed purposes
• We may display completed work in our portfolio and marketing materials unless the client objects in writing

However, clients must not reproduce, resell, or distribute materials beyond the agreed use without our written consent.

6. Client Responsibilities

To ensure timely delivery, clients agree to:

• Provide accurate and complete information when required
• Review and approve deliverables within agreed timelines
• Confirm that supplied materials do not infringe third-party rights

Otherwise, delays in feedback or materials may affect project timelines.

7. Confidentiality

Both parties agree to protect confidential or proprietary information shared during an engagement. Nevertheless, disclosure may occur if the law requires it or both parties agree in writing.

Sometimes, our services involve third-party platforms or tools. However, we do not control these platforms and therefore take no responsibility for their availability, performance, or policies.

9. Limitation of Liability

Savvyscope Media Solutions limits its liability to the fullest extent permitted by law. Consequently, we are not liable for:

• Indirect, incidental, or consequential damages

In any case, our total liability will not exceed the fees paid for the specific service that gave rise to the claim.

Either party may terminate a service agreement according to the terms stated in the relevant proposal or contract. However, termination does not affect obligations already incurred, including payment for completed work.

If a dispute arises, both parties will first attempt to resolve it through good-faith discussions. If the dispute remains unresolved, the parties will proceed to mediation with a mutually agreed mediator.

If mediation does not resolve the matter, the parties will submit the dispute to arbitration in accordance with the laws of the Republic of Kenya. The arbitrator’s decision will be final and binding.

Unless the arbitrator decides otherwise, each party will bear its own costs.

13. Governing Law

These Terms operate under and follow the laws of the Republic of Kenya, without regard to conflict of law principles.

14. Changes to These Terms

From time to time, we may update these Terms. Therefore, we will post any changes on this page and revise the effective date.
